Terms and Conditions for Signs and Advertising Display

Conditions: Client is purchasing a special order custom sign or advertising display according to the terms of this agreement. Custom product requires a 50% non-refundable deposit of quote with the balance due upon completion. As a result of recent supply chain issues and product volatility 1) products under $800 require payment in full before work begins unless other arrangements are made in writing. 2) In the case of supply delays and backorders product may be substituted for similar available material. Specifications will be outlined in the sales order or drawings. 3) Installation of customer supplied product requires prepayment and includes no guarantee of estimate or viability of product.

If sales tax exempt please subtract tax AND include state stamped exemption certificate with deposit or payment.

All products remain the property of Image1. until paid in full. All accounts are due and payable upon receipt. 1 ½% per month service charge will be added after the due date. Returned check fee is $32. Customer assumes all responsibility for legal fees, court costs, collection fees and lien filings due to collection of unpaid balances. The venue for this agreement and work performed is Porter County, Indiana.

Artwork: Artwork created by Image1 will be submitted via a digital proof for approval. We often provide one side of a layout for initial approval before designing the remaining sides for final approval. Image1 is not responsible for errors in spelling, color, or design in regards to any and all artwork.  All proofs must be approved, upon approval, we will not be held responsible for any errors or omissions in regards to spelling, color or design. Additional fees may apply for art created by Image1 that client wishes to use for other purposes; a signed copyright release will be required. Artwork and renderings by Image1 are subject to billing at current rate unless included in proposal and remain exclusively the property of Image1. Artwork is not to be made available to competing sign and design companies without prior approval and payment of design time at $85 hourly. Prices quoted are for standard available colors. Color matching or P.M.S. colors will be additional. 

Digital Media Guidelines We ask that you use the following guidelines before sending us any files. 1) Resolution should be at least 72 DPI resolution or greater at actual print size. 2) Outline all fonts/text/type. 3) No linked files 4) Types of files we accept are: JPEG, PSD Adobe Photoshop, AI Adobe Illustrator, EPS, TIFF and PDF. 5) Large prints will be tiled to achieve the best usage on 54” wide material. Client is responsible for vector (line) art for requested artwork and is solely responsible for use of trademarks, registered trademarks, copyright or licensed material. It is assumed that all artwork provided by the client has been approved prior to submission and is production ready.

Architectural wraps: It is understood that unlike a paint job, there can and will be seams, and patches that are necessary to cover contours and irregularities. It is also understood that upon approval of final graphic proofs, some adjustments to the finalized artwork may be necessary at time of installation to allow the wrap to fit the product’s shape and irregularities. Client authorizes Image1 to make such necessary changes. Some items to note: door handles and knobs will not be wrapped, electrical covers will not be wrapped, severe channel areas will not be wrapped to prevent wrinkling, lifting and bubbling. There will be seams and overlaps. The vinyl may lift in difficult areas such as but not limited to corners, along caulked area, behind latches or in crevices. There could be bubbles or wrinkles form in difficult areas or due to low voc paints, fresh paint should be given 30 days to out-gas while drying. Final color may slightly print differently than the proof. Reprints may also be slightly different from last print. Templates are mock-ups, vinyl placement may be different due to curvature and size.

Your vinyl, textile or canvas material should last you many years, depending on how well you maintain it. When it’s time to remove it, our pro installers can remove the wrap. Our canvas wrap is expected to remove cleanly in under one year but is never guaranteed since paint types, use and element exposure cause varying adhesive reactions. When an estimated price is given, it is an estimate based on how many approximate hours we think it will require to remove but may not be the exact price. Hours charged for removal will vary depending on length of time the wrap was on and the conditions it was exposed to. Image1 is not responsible for the condition of the paint or finishes when removing old vinyl. See vinyl removal waiver for more detail. 

Client is responsible to provide a minimum of 48” installation access. After normal weekday hours installation is available for shift differential pay. 

Window vinyl will be trimmed ⅛” – ¼” away from the seals. Window seals expand and contract with temperature causing lifting of vinyl if trimmed too tightly. We are not responsible for cracked glass and will advise if we notice any areas of concern. 

Vinyl may lift in mortar joints on block walls including deep recesses in rough walls, this is normal. 

Additional Services: Any additional services performed or needed are subject to billing at additional material and time. Any alterations or deviations from agreed specifications involving extra costs will be executed upon verbal or written orders and will become an extra charge over and above the proposal.

Permits: Permits are the responsibility of the client and costs are unknown at time of quotation. We will provide necessary drawings and specifications. Image1. may secure permits upon client request – minimum administration cost will be $250.00 unless otherwise agreed plus face value of permit and any needed bonds, surveys or variances; cost is additional if needed. Installations are based on normal conditions, and free and clear access to the front and back side of the install location as well as a safe distance from utilities. Client shall provide electrical service of suitable capacity and approved type within 5’ of sign connection. Return hook-up if necessary will be additional.

Contingencies: All agreements contingent upon product availability, equipment rental schedule, strikes, accidents, weather or delays beyond our control. Private lines must be clearly marked by the client (includes sprinkler and ground lighting). Any damage to private lines not clearly marked is the responsibility of the client.

Revisions: Proposals may be withdrawn or revised if not accepted within 15 days due to fluctuating material and fuel costs.

Cancellations: Any cancellations will be subject to design and production fees, material costs and loss of 50% deposit. Image1 may reschedule appointments for a reasonable future date.

Indemnity by Customer: Customer agrees to indemnify and hold Image1. harmless from any and all claims, causes of action or damages caused by customer and/or its agents or subcontractors including reimbursement of reasonable attorney fees and costs. Severability: In the event any portion of a provision of this agreement is deemed to be invalid or unlawful, the remainder of such provision and all other provisions shall remain in full force and effect and binding upon the parties. Integration and Amendments: This agreement constitutes the full and final understanding of the parties. The parties agree that there are no other agreements or understandings by and between them except as reflected and memorialized in this agreement and that they are not relying upon any other oral statement or understanding outside of this agreement to enter into the same. This agreement cannot be modified or amended unless agreed to in writing signed by both parties. 

Terms and Conditions for Wraps and Vehicle Graphics

1. Condition of Vehicles for Wrap Installation: Customer agrees to have all vehicles delivered for wrap installation at customer’s sole costs and expense, damage free, washed, and dried and in a ready to install condition. Neither Image1 nor its designated agents or subcontractors shall be responsible for any damage sustained to any vehicle prior to delivery. The customer shall be responsible and bear the risk of loss for any vehicle prior to delivery. Image1 shall have no obligation to install any wrap upon a damaged vehicle unless instructed by customer to do so otherwise in which case customer waives and releases us from any warranty provided herein. Image1 has the right to refuse any job based on vehicle condition. If a vehicle is not delivered to the designated location in a washed, dried and ready to install condition, (Do NOT wax or ceramic coat vehicle before delivery) we shall charge, and customer shall pay an additional extra charge of $85.00 minimum that requires washing and drying prior to installation. If the vehicle has been freshly painted, it may require extra time to cure before vinyl application. Old paint may be oxidized and could require buffing before vinyl is applied. Irregularities, paint flaws, dents and ghosting from old graphics removal may show through the wrap.

5. Appearance and Alterations: Client understands that the product purchased is a vehicle wrap. It is also understood that unlike a paint job on a vehicle, there can and will be seams, and patches that are necessary to cover vehicles contours and irregularities. It is also understood that upon approval of final graphic proofs, some adjustments to the finalized artwork may be necessary at time of installation to allow the vehicle wrap to fit the vehicle’s shape. Client authorizes Image1 to make such necessary changes.

On Printed Wrap installation what to expect: door handles will not be wrapped, on Vans, busses, and large vehicle bumpers will not be wrapped, wheel wells will not be wrapped, running boards will not be wrapped, severe channel areas will not be wrapped to prevent wrinkling, lifting and bubbling. There will be seams and overlaps. The vinyl may lift in difficult areas such as but not limited to recesses, corners, along caulked body parts, behind latches or in crevices. There could be bubbles & wrinkles in difficult areas. Final color may slightly print differently than the proof. Reprints may also be slightly different from last print. Templates are mock-ups, vinyl placement may be different due to curvature and size.

 

Wrap and Vehicle Graphics Removal:

Your vehicle’s vinyl material should last you 3-5 years or more, depending on how well you maintain it. When it’s time to remove it, our pro installers can remove the wrap. Hours charged for removal will vary depending on length of time the wrap was on and the weather conditions it was exposed to. 6. Pickup of Completed Vehicles: Customer shall pick up and take delivery of any vehicle when the wrap installation has been completed at its sole costs and expense and shall bear all risk of loss for any vehicle after completion of the wrap installation. Any vehicle not picked up after completion will be subject to an additional charge and storage fees.

7. Cancellations: Any cancellations will be subject to design and production fees, material costs and loss of 50% deposit. Image1 will reschedule appointments for a future installation date.

11. Product Warranty: Technical specifications, recommendations and all other statements about vinyl films are based upon tests believed to be factual but do not constitute a guarantee or warranty. All Image1 films are sold with the understanding that the purchaser will use the vinyl films for the intended purposes in which they were manufactured for following the given parameters of each product.

Should vinyl films installed by Image1 fail to perform or adhere correctly after specified proper use and application Image1 shall file a claim with the manufacturer of the vinyl for the defective material. Image1 requires an actual sample of any vinyl film in question, photographs of failure and proof of invoice. The manufacturer will make a decision based on the evidence provided. Under no circumstances shall Image1 be responsible for any incidental or other damages outside of our control of the manufactured vinyl films. Warranty is voided if the vehicle surface was previously ceramic coated. No additional warranties and implied warranties other than those stated above which are made expressly in lieu of all other warranties shall apply to any vinyl. This warranty does not cover damage from negligence, misuse as in lack of care of the wrap, failure to keep the wrap clean, damage from accidents, road debris, general wear and tear, or any other failure not of a product or installation origin. Most installation failures will occur within the first 30 days, any lifting, bubbles or peeling must be brought to our attention immediately. Failure to bring the vehicle to us in a reasonable time frame (30 days from wrap completion) will void this warranty. See our vehicle wrap care guide, copies available upon request.

Installation Warranty

Perforated Window Graphics (storefront)

  • 1-year warranty: covers peeling, excessive fading and cracking
 
  • No warranty against peeling or abrasion on windows that move or slide. We do not recommend opening windows that have graphics applied to them.
 
  • Typical life expectancy of perforated window film: 12-36 months
 

Exterior Signs and Decals (wayfinding, die-cut window graphics, acrylic, aluminum, and composite signs)

  • 2-year warranty: covers peeling, excessive fading and cracking
 
  • Typical life expectancy of an exterior sign: 12-60 months
 

Banners and Magnetics

  • No warranty: magnetics and banners are considered a temporary sign. Proper installation and use will result in a longer life, but there is no warranty implied or expressed
 
  • Typical life expectancy with proper installation: 3-24 months
 

Vehicle Lettering (die-cut vinyl on windows or painted surfaces)

  • 1-year warranty: covers peeling, excessive fading and cracking
 
  • No warranty on chrome, diamond plate or other metalized film
 
  • Typical life expectancy of vehicle lettering: 3-5 years depending on care and material type (metallic, chrome and metalized film have a shorter life: 1-3 years)
 

Vehicle Wraps

  • Manufacturer’s warranty on vehicle wrap materials as specified for the Midwest Region. See wrap terms for more information.
 
  • 1-year warranty on installation and workmanship (peeling, cracking or lifting). Damaged areas will be trimmed back, patched in, or replaced if needed.
 
  • Typical life expectancy of a vehicle wrap: 3-5 years for vertical exposure, 1-3 years for non-vertical exposure.
 

Perforated Window Graphics (vehicles)

  • 6-month warranty: covers peeling, excessive fading and cracking
 
  • No warranty against peeling or abrasion on windows that move, slide or on non-vertical exposure such as sunroofs. We do not recommend opening windows that have graphics applied to them. We may install a clear edge seal to help prevent lifting of perf upon client request.
 
  • Graphics that are exposed to window wipers are not warranted
 
  • Typical life expectancy for perforated window film: 1 year
